Terms of service

These terms apply between Maistral d.o.o., Veslačka ulica 15b, 10000 Zagreb, Croatia, Tax ID HR15442964459 ("Maistral", "we") and the business that uses Widzy ("customer", "you"). By starting a free trial, activating a plan or using Widzy you accept them on behalf of your business. Widzy is a service for businesses; it is not offered to consumers.

1. The service

Widzy lets you upload short videos and show them on your websites in widgets, with calls to action and analytics. We may improve and change the service over time; we will not remove a core function you pay for during a paid period without telling you in advance.

2. Accounts

• The person who signs up confirms that they may act for the business named in the account.
• Keep passwords secret. You are responsible for what happens under your account and the accounts you give to your team; tell us at widzy@maistral.com if you suspect misuse.
• Agencies may manage organizations for their clients. The agency is responsible for having its client's permission and for its client following these terms.

3. Free trial

The free trial lasts the number of days shown when you sign up (currently 7) and includes the limits shown on the pricing page. It needs no payment details. When it ends, your widgets stop showing until you activate a plan. If no plan is activated within 90 days after the trial ends, we delete the organization and its data. One business gets one free trial: a website or Tax ID already on Widzy cannot start another. We may refuse or end trials that are abused.

4. Plans, prices and payment

• Prices are those shown in Widzy when you activate a plan or request an add-on. All prices exclude VAT and other applicable taxes, which are added as the law requires.
• Plans and monthly add-ons are billed per organization for each month in advance; one-time add-ons once. We invoice the billing details you enter in Widzy; invoices are due within 15 days.
• An additional domain is charged from the day we switch it on, at the price you accepted when you requested it. The add-on for additional views is charged from the day we switch it on.
• We may change prices with at least 30 days' notice by email; the change applies from the next billing period. If you do not agree you can cancel before it applies.
• If an invoice stays unpaid 15 days after a reminder, we may pause your widgets until it is paid.

4a. Agencies and partners

• An agency creating a client enters the client's contact person, so we can reach the client if needed. The client starts on the free trial. An agency can have a limited number of clients on a running free trial at once (currently 10).
• A client stays the agency's when it activates a paid plan within 30 days after its free trial ends. A client that activates later, or not at all, becomes a direct Widzy customer, and the agency no longer has access to it.
• For its paying clients, the agency earns the commission agreed with us, as a percentage of their monthly price without VAT, for as long as they stay paying clients of the agency.

5. Limits and fair use

• Each plan includes a number of videos and of video views per calendar month, shown on the pricing page and in Widzy. A view is counted once per visitor, video and day.
• When you go over the monthly views, your widgets keep running. We let you know, and you agree to add the views you need (for example with the additional views add-on) or move to a larger plan.
• Each video can be at most 50 MB. Widgets show only on your main domain (your website) and the additional domains we switched on.

6. Your content

• You keep all rights to the videos, images, texts and links you put into Widzy ("your content").
• You give us the right to store, copy, transcode and show your content only as needed to run Widzy for you, for as long as it is in Widzy.
• You confirm that you have all rights needed for your content, including music, people shown in the videos and trademarks, and that it is lawful. You indemnify Maistral against third-party claims arising from your content.
• You may not use Widzy for content or links that are illegal, infringe others' rights, mislead visitors, spread malware, or are sexually explicit, hateful or violent. We may remove such content or suspend the affected widgets, and we tell you why.

7. Acceptable use

Do not try to get around limits, access other customers' data, overload or probe the service, resell it without our agreement, or use the widget on websites you do not control.

8. Data protection

How we handle personal data is described in our privacy policy. For the visitors of your websites you are the controller and we are your processor: we process their data only to run Widzy for you, under your instructions, with appropriate security, using the sub-processors listed in the privacy policy, and we help you answer their requests. You are responsible for informing your visitors and, where needed, asking for their consent before the widget runs. These terms together with section 4 of the privacy policy form our data processing agreement under Art. 28 GDPR.

9. Availability and support

We work to keep Widzy available at all times but do not guarantee uninterrupted service; maintenance and outages of our providers can happen. Support is by email at widzy@maistral.com on Croatian working days.

10. Liability

We are not liable for indirect damage, lost profit or lost data, nor for damage caused by your content or by your websites. Our total liability in any 12 months is limited to the amount you paid us in those 12 months. These limits do not apply to damage caused intentionally or by gross negligence, or where the law does not allow them.

11. Ending the contract

• You can cancel a plan at any time by writing to widzy@maistral.com; it ends at the end of the paid month. Amounts already paid are not refunded.
• We can end the contract with 30 days' notice, or at once if you seriously or repeatedly breach these terms.
• When the contract ends, your widgets stop. You can download your data from Widzy until then; we delete it within 90 days, except what the law requires us to keep (for example invoices).

12. Changes to these terms

We tell you about changes by email or in Widzy at least 30 days before they apply. If you keep using Widzy after that, the new terms apply; if you do not agree you can cancel before they apply.

13. Law and disputes

Croatian law applies, without its conflict-of-law rules and without the UN Convention on the International Sale of Goods. Disputes are decided by the competent court at Maistral's registered seat.
